1. Electronic File Use Terms and Conditions

All drawings, specifications, models, digital files, and other documents, whether in electronic, printed, or other formats, including but not limited to AutoCAD files, BIM models, PDFs, images, renderings, schedules, and data (collectively, “Electronic Files”), are and shall remain the Instruments of Service of Mojo Stumer Associates.
No ownership rights, copyright interests, or license to reuse such Electronic Files are granted except as expressly stated in a separate written agreement executed by Mojo Stumer Associates.

1. Limited Purpose of Electronic Files

Electronic Files are provided solely for the convenience of the recipient and only for the specific project and purpose for which they were originally prepared, unless otherwise agreed to in writing.
Electronic Files may not accurately reflect all design intent, coordination, revisions, or field conditions and shall not be relied upon as contract documents unless expressly identified as such in writing.

1. No Warranty; Use at Recipient’s Risk

Mojo Stumer Associates makes no representations or warranties, express or implied, regarding the accuracy, completeness, or suitability of the Electronic Files for any purpose.
Use of the Electronic Files is entirely at the recipient’s sole risk, and the recipient assumes full responsibility for:
• Verification of accuracy
• Interpretation of content
• Coordination with other disciplines
• Compliance with applicable codes, laws, and regulations

1. No Responsibility for Modification or Reuse

Mojo Stumer Associates shall have no responsibility or liability for any use, reuse, modification, alteration, or adaptation of the Electronic Files by any party other than Mojo Stumer Associates, including use for:
• Construction means and methods
• Shop drawings or fabrication
• Permit submissions
• Future phases
• Additions, renovations, or other projects
Any modification or reuse of the Electronic Files without the express written authorization of Mojo Stumer Associates voids any responsibility of Mojo Stumer Associates for the content of those files.

1. No Obligation to Update

Electronic Files are provided as-is at the time of transmission.
Mojo Stumer Associates has no obligation to update, revise, or supplement Electronic Files after issuance, unless specifically agreed to in writing.

1. Indemnification

To the fullest extent permitted by law, the recipient agrees to defend, indemnify, and hold harmless Mojo Stumer Associates, its officers, employees, and consultants from and against any and all claims, damages, liabilities, losses, and expenses (including attorneys’ fees) arising out of or related to the recipient’s use, reuse, or modification of the Electronic Files.

1. No Reliance for Construction

Electronic Files shall not be used for construction, fabrication, or pricing unless expressly authorized in writing by Mojo Stumer Associates.
Printed, signed, and sealed documents, where required by law, shall govern in the event of any discrepancy.

1. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.

1. Acceptance of Terms

Receipt, access, or use of any Electronic Files constitutes acknowledgment and acceptance of these terms and conditions.
